Terms and Conditions

1. Service Description

The Secure Songs service (“Secure Songs”) enables you to upload sound recordings (“Recordings”) to our servers so that we may generate unique acoustic fingerprints (“Fingerprints”) using our proprietary technology and/or third-party audio fingerprinting providers. These Fingerprints are submitted to partnered third-party audio identification and rights-management services (“ID Services”) for the purpose of detecting and blocking unauthorized uploads, uses, or releases of your Recordings across digital platforms.

By uploading Recordings to Secure Songs, you expressly authorize Secure Songs to request that ID Services block or restrict third-party uploads or uses of such Recordings where they are identified as unauthorized. Secure Songs may also make the Fingerprints (but not the audio files themselves) available to third-party music platforms and services to enable detection and prevention of unauthorized uses of your Recordings.

To provide the Secure Songs service, you agree that Secure Songs may transmit, upload, register, store, and maintain Recordings and/or Fingerprints provided by you or generated by Secure Songs for the purposes described herein.

Secure Songs currently accepts Recordings in supported audio formats, including but not limited to WAV and MP3. When uploading Recordings, you may optionally provide metadata such as artist name, track title, or related information. While such metadata is not required to provide the service, you acknowledge that if provided, it may be shared with ID Services and may become publicly visible.

By using Secure Songs, you acknowledge and agree that your Recordings and associated Fingerprints may be registered with third-party ID Services, which may include, without limitation, Audible Magic, AcoustID, and YouTube Content ID, among others. These ID Services operate under their own terms and conditions, and you represent and warrant that you have reviewed, understand, and agree to be bound by all applicable terms of such services.

You acknowledge that Secure Songs does not control third-party ID Services and is not responsible for their availability, accuracy, decisions, enforcement actions, or outcomes. Secure Songs does not endorse and shall not be liable for any content, advertising, products, materials, or actions of such ID Services. You further agree that Secure Songs shall not be responsible or liable for any damages, losses, or claims arising directly or indirectly from your use of, or reliance on, any ID Services.

Secure Songs reserves the right, in its sole discretion, to accept or reject any Recording submitted to the service and is under no obligation to generate a Fingerprint or register any Recording with ID Services.

2. Rights

In connection with Secure Songs, Secure Songs and its authorized service providers shall use your Recordings solely for the purpose of generating Fingerprints and providing the Secure Songs service. Secure Songs shall be responsible for ensuring that its authorized providers comply with the applicable provisions of these Terms.

As between you and Secure Songs, you retain all right, title, and interest in and to your Recordings. Except as expressly stated in these Terms, no ownership rights in your Recordings are transferred, licensed, or assigned to Secure Songs.

As between you and Secure Songs, Secure Songs retains all right, title, and interest in and to the Fingerprints, the Secure Songs platform, and any related software, systems, and technologies, including all associated intellectual property rights.

Subject to your full and ongoing compliance with these Terms, Secure Songs grants you a limited, personal, non-exclusive, revocable, non-transferable, and non-assignable license to access and use the Secure Songs service.

3. Term and Termination

This Agreement becomes effective upon your first use of Secure Songs and shall continue unless and until terminated by either party in accordance with these Terms.

Upon termination, Secure Songs will cease using your Recordings to generate new Fingerprints. However, any Fingerprints generated and registered with ID Services prior to termination may remain registered and active within Secure Songs and the relevant ID Services in order to continue protecting against unauthorized uses.

4. Representations, Warranties & Ownership

You represent and warrant that:

a) Ownership & Rights
You are the sole owner of, or otherwise have full legal right, authorization, and authority to upload, submit, and register each Recording with Secure Songs, including all underlying copyrights, neighboring rights, and related intellectual property rights.

b) No Infringement
Your Recordings do not infringe upon or violate any copyright, trademark, moral right, contract, or other proprietary or personal right of any third party.

c) Exclusive Control (where applicable)
Where you designate a Recording for blocking or protection, you confirm that no other party has been granted conflicting rights that would prevent Secure Songs or its ID Services from enforcing identification, blocking, or restriction of unauthorized uses.

d) AI-Generated Content
If a Recording is generated using artificial intelligence or automated tools, you represent and warrant that:

• you lawfully generated the Recording,

• you retain full commercial and copyright ownership of the output, and

• the Recording does not contain protected elements from third-party works (including melodies, vocals, lyrics, or samples) unless you have explicit authorization.

e) Accuracy of Information
All information, metadata, and declarations you provide to Secure Songs are accurate, complete, and not misleading.

You acknowledge that Secure Songs relies on these representations when providing the service.

5. Exclusivity & Conflicting Registrations

Secure Songs does not require exclusivity unless expressly stated otherwise. However, you acknowledge and agree that:

• Submitting a Recording to multiple fingerprinting, blocking, or rights-management systems may cause conflicts, misidentifications, delayed enforcement, or service limitations.

• Secure Songs shall not be responsible for failures, disputes, or losses caused by conflicting registrations or third-party claims arising from such overlapping submissions.

• Secure Songs reserves the right to suspend, remove, or decline protection for any Recording subject to conflicting claims or registrations.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

a) No Indirect Damages
In no event shall Secure Songs, its officers, directors, employees, partners, licensors, or service providers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of revenue, loss of royalties, loss of profits, loss of data, loss of business opportunities, or reputational harm, arising out of or related to your use of the Secure Songs service.

b) Service Limitations
You acknowledge that audio identification and blocking systems are probabilistic and not guaranteed. Secure Songs does not warrant that all unauthorized uses will be detected, blocked, or monetized.

c) Maximum Liability Cap
Secure Songs’ total aggregate liability for any claim arising out of or relating to the service shall not exceed the total fees paid by you to Secure Songs for the applicable Recording(s) during the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Secure Songs and its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• any breach of your representations, warranties, or obligations under these Terms;

• any claim that your Recording infringes or violates the rights of a third party;

• any dispute regarding ownership, authorship, licensing, or authorization of a Recording;

• your misuse of the Secure Songs service or violation of applicable laws.

Secure Songs reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification.

8. No Guarantee of Protection or Revenue

You acknowledge and agree that:

• Secure Songs does not guarantee that unauthorized uses will be prevented or removed.

• Secure Songs does not guarantee monetization, takedowns, platform enforcement, or dispute outcomes.

• Blocking, detection, and enforcement decisions are ultimately controlled by third-party platforms and ID Services.

9. Suspension & Termination

Secure Songs reserves the right, at its sole discretion, to suspend or terminate access to the service, remove Fingerprints, or decline future submissions if:

• a Recording is subject to ownership disputes or legal claims;

• false or misleading information is provided;

• Secure Songs reasonably believes continued protection may expose it to legal or operational risk;

• you violate these Terms.

Termination does not affect Fingerprints already registered prior to termination unless removal is legally required or requested by an ID Service.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction designated by Secure Songs, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the competent courts for any dispute arising under or in connection with these Terms.

11. Miscellaneous

• No Waiver: Failure to enforce any provision shall not constitute a waiver.

• Severability: If any provision is held invalid, the remaining provisions shall remain in full force.

• Entire Agreement: These Terms constitute the entire agreement between you and Secure Songs regarding the service.

• Amendments: Secure Songs may update these Terms from time to time, with continued use constituting acceptance.
